Terms of Service

By accessing or using the Sayso service available at sayso.es (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree with any part of these Terms, you may not use the Service.

The Service is offered by Sayso ("we", "us", the "company"). If you use the Service on behalf of an organization, you accept these Terms on behalf of that organization and represent that you have authority to do so.

Sayso is a SaaS platform that allows professionals and businesses to:

• Collect customer testimonials through customizable forms.
• Moderate and approve received testimonials.
• Publish approved testimonials via an embeddable widget on external websites.

Sayso reserves the right to modify, suspend, or discontinue the Service or any of its features at any time, with or without prior notice, without incurring any liability to the user.

To access the Service you must create an account by providing a valid email address and a password. You are responsible for:

• Maintaining the confidentiality of your access credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use at contact@sayso.es.

You may not create accounts through automated means or use the Service to impersonate any other person or entity.

You agree not to use the Service to:

• Publish false, misleading, or fabricated testimonials.
• Send unsolicited communications (spam) to the recipients of testimonial requests.
• Infringe the intellectual property rights of third parties.
• Upload defamatory, obscene, illegal, or hate-inciting content.
• Attempt to gain unauthorized access to Sayso's systems or those of other users.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service in a way that may damage, overload, or impair its operation.

Sayso may suspend or cancel accounts that violate these conditions, without prior notice and without any right to refund.

You are solely responsible for the content you upload, publish, or distribute through the Service ("Content"), including collected testimonials and your customers' data.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free, and transferable license to host, store, reproduce, and display the Content to the extent necessary to provide the Service.

You represent and warrant that:

• You have the necessary rights to the Content you upload.
• You have obtained informed consent from the individuals whose personal data appears in the testimonials, in accordance with the GDPR and applicable Spanish regulations.
• The Content does not infringe third-party rights or applicable law.

6.1 Available plans

The Service is offered in three tiers: Starter (free), Growth, and Scale. The features and limitations of each plan are described on the pricing page (sayso.es/#pricing).

6.2 Billing

Paid plans are billed monthly in advance through Stripe. By subscribing, you authorize Sayso to charge the corresponding amount to the provided payment method on a recurring basis until you cancel the subscription.

6.3 Price changes

Sayso may modify plan prices with a minimum of 30 days' notice by email. If you do not agree with the new price, you may cancel your subscription before the change takes effect.

6.4 Refunds

Payments made are non-refundable unless required by applicable law. If you cancel your subscription before the end of the billing period, you will retain access to the paid plan until the end of the period already paid, after which your account will revert to the Free plan.

6.5 Trial period

When Sayso offers a free trial period, the first charge will be made automatically at the end of the trial unless you cancel beforehand. Sayso reserves the right to limit eligibility for trial periods.

The Service, including its source code, design, logos, brand, and documentation, is the exclusive property of Sayso and is protected by applicable intellectual and industrial property regulations. These Terms do not grant you any rights over such material beyond the limited use necessary to access the Service.

"Sayso" is a reserved trade name. You may not use it in any context that may cause confusion or unauthorized association with our company.

The processing of users' personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

To the extent that the user collects personal data of third parties (the authors of the testimonials) through the Service, the user will act as an independent data controller of that data, being solely responsible for obtaining the necessary legal bases and complying with their obligations under the GDPR and Spanish data protection regulations.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available", without warranties of any kind, express or implied.
• Sayso does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.
• Sayso shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from the use or inability to use the Service.
• Sayso's total liability to the user, in any case, shall not exceed the amount paid by the user to Sayso during the three (3) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Sayso and its collaborators, licensors, and service providers from any claim, liability, damage, judgment, loss, cost, or expense (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your breach of these Terms; or (c) the Content you publish through the Service.

By the user: you may cancel your account at any time from your account settings or by contacting us. Cancellation does not entitle you to a refund of already billed periods.

By Sayso: we may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we consider that your use of the Service is harmful to other users, third parties, or the Service itself.

After cancellation, your data will be deleted in accordance with our Privacy Policy.

Sayso may modify these Terms at any time. We will notify you of material changes at least 15 days in advance by email or through a visible notice on the platform. If you continue to use the Service after the changes take effect, you will be deemed to have accepted the new Terms.

These Terms are governed by Spanish law. For any dispute arising from their interpretation or application, the parties submit to the Courts and Tribunals of Spain, with express waiver of any other jurisdiction that may apply.

Notwithstanding the above, if you are a consumer in the European Union, you may benefit from any protection afforded by the mandatory law of the country in which you reside.

• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Sayso regarding the Service.
• Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: the failure of Sayso to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: you may not assign your rights or obligations under these Terms without the prior written consent of Sayso. Sayso may assign these Terms without restrictions.
